Purpose
These General Terms and Conditions of Sale (Conditions Générales de Vente — CGV) govern the commercial relationship between AGILE UP (hereinafter "the service provider" / « le prestataire ») and any client, natural person or legal entity (hereinafter "the client" / « le client »).the client
The service provider operates in the following fields:
- Software publishing and sales (SaaS, cross-platform desktop & mobile applications)
- Software engineering services and IT consulting (web platforms, AI, infrastructure)
- Digital fabrication and hardware workshop services (3D printing, laser cutting & engraving)
Acceptance of Terms
Any order of services implies unreserved acceptance of these Terms. The client acknowledges having read and accepted these terms prior to placing an order.
Agile Up reserves the right to amend these Terms at any time. Any modifications will apply to orders placed after the date of publication of the updated terms.
Pricing and Quotes
Prices
- Prices are displayed in euros, including all applicable taxes (TTC — toutes taxes comprises)
- Quotations and estimates are valid for 30 days from their issuance date
- Custom rates may apply for volume orders or multi-month retainer commitments
Price Adjustments
Agile Up reserves the right to adjust its standard rates. Revisions apply strictly to new orders placed after the adjustment.
Ordering and Purchasing Procedure
Workflow
- Quote request submitted via the contact form or directly to contact@agile-up.com
- Detailed commercial quotation issued by Agile Up
- Quotation accepted and validated by the client
- Contract or purchase order (bon de commande) signed
- Payment processed according to agreed milestones
- Project kickoff and execution of deliverables
Payment Schedules
- SaaS Software — monthly or annual billing, paid in advance
- Engineering Services — 50% upon signature, 50% upon delivery (or tied to agreed milestones)
- Digital Fabrication — 100% payment upon order or 50/50 split depending on total amount
- Payment Term — 30 days net from invoice date (unless expressly stipulated otherwise)
- Accepted Methods — bank wire transfer, credit card (via Stripe), SEPA direct debit
Late Payment Penalties
Any late payment shall incur, without formal notice required, a statutory lump-sum indemnity of 40 euros for recovery costs and late payment interest calculated at the statutory rate in force (article L.441-6 of the French Commercial Code / Code de commerce).
Services and Deliverables
Scope of Work
Services are detailed in the quotation and/or signed agreement. Agile Up commits to providing deliverables in accordance with agreed specifications and within stated schedules.
Revisions and Adjustments
- Quotations include a defined number of revision iterations (typically 2–3 rounds)
- Revision requests exceeding this contractual scope will be subject to supplementary billing
- Major modifications or out-of-scope functional requests require a formal addendum quote
Delivery Schedules
Stated timelines are estimates provided in good faith. Agile Up disclaims liability for delays resulting from:
- Belated submission of required materials, access, or specifications by the client
- Lack of timely feedback, testing, or approval from the client team
- Force majeure events (strikes, severe weather anomalies, telecom or internet backbone outages, etc.)
Intellectual Property
Custom Code & Bespoke Developments
For custom engineering services, source code and all final deliverables become the exclusive property of the client upon receipt of full payment, unless stipulated otherwise in writing.
Proprietary Software & Core Engines
Software products published by Agile Up, proprietary analysis engines, and reusable internal libraries remain the sole and exclusive intellectual property of Agile Up. The client receives a non-exclusive license strictly restricted to agreed operational purposes.
Client-Provided Assets
The client warrants holding all necessary intellectual property rights, licenses, and permissions for assets, images, texts, and data supplied. Agile Up disclaims any liability for copyright infringement arising from client-provided materials.
Warranty and Liability
Warranty Coverage
- SaaS Products — 30-day operational warranty against critical software regressions
- Custom Developments — 90-day warranty of conformity with agreed technical specifications
- Physical Fabrication — warranty of conformity with specifications and absence of apparent defects (vices apparents)
Limitations of Liability
Agile Up shall only be held liable for direct and foreseeable contractual damages. Under all circumstances, Agile Up's cumulative liability is strictly capped at the net amount invoiced for the specific service in dispute.
Agile Up expressly disclaims liability in respect of:
- Loss of business data, loss of anticipated profits, or operational disruption
- Indirect, consequential, or punitive damages
- Use of the service in breach of these Terms or applicable legislation
- Service interruptions caused by third-party infrastructure (cloud hosting providers, ISPs)
- Security breaches resulting from non-compliance by the client with standard security hygiene
Personal Data and GDPR
Personal data collected during service provisioning is processed in strict compliance with the GDPR and our privacy policy available at /en/privacy.

Statutory Warranty of Conformity and Updates
For relevant digital content and digital services, the statutory warranty of conformity applies for 2 years from the date of provision. AGILE UP provides during this same period the updates necessary to maintain conformity.
Termination and Cancellation
Right of Withdrawal
In accordance with statutory consumer protection regulations, non-professional consumer clients benefit from a 14-day right of withdrawal (droit de rétractation) from purchase, except for digital services fully executed or customized work already initiated with express prior agreement.
Termination Modalities
- One-off Engagements — cancellation permitted prior to work commencement, with full reimbursement
- Recurring Contracts (SaaS) — cancellation permitted subject to a 30-day written notice
- Work-in-Progress Engagements — in case of early termination, pro-rata billing applies and warranties are forfeited
Final Provisions
Applicable Law and Jurisdiction
These Terms are governed exclusively by French law. Any dispute arising out of or in connection with their interpretation or performance shall fall under the exclusive jurisdiction of the competent courts of Paris (tribunal de Paris).
